Terms & Conditions

A Legal Disclaimer

The explanations and information provided on this page are only general and high-level explanations and information on how to write your own document of Terms & Conditions. You should not rely on this article as legal advice or as recommendations regarding what you should actually do, because we cannot know in advance what are the specific terms you wish to establish between your business and your customers and visitors. We recommend that you seek legal advice to help you understand and to assist you in the creation of your own Terms & Conditions.

Terms & Conditions - The Basics

Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner.

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).

T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.

What to Include in the T&C Document

Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.

Terms & Conditions

Acceptance

This website is operated by American Investment Immigration Company (\"AIIC\", \"we\", \"us\"). By using it you accept these terms. If you do not accept them, please do not use the site.

This site is not an offer of securities

Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security, in any jurisdiction where such an offer or solicitation would be unlawful or to any person to whom it would be unlawful to make it.\n\nInterests in offerings sponsored by AIIC are offered only to qualified investors, solely through a confidential private placement memorandum and its accompanying subscription documents. Those documents govern. Where anything on this website differs from them, the offering documents apply.

Offerings are made in reliance on exemptions from registration under the United States Securities Act of 1933, including Regulation D and Regulation S. Interests have not been registered with, recommended by, or approved by the United States Securities and Exchange Commission or any state securities regulator, and no such authority has passed on the merits of any offering or the accuracy of any material on this site.

Nothing here is advice

This website is general information. It is not legal, immigration, tax, accounting or investment advice, and it does not take account of your circumstances, objectives or needs. Retain your own immigration attorney, your own securities counsel and your own tax adviser, chosen by you and accountable to you, before making any decision.

Risk

An EB-5 investment must be at risk under United States immigration law. You may lose some or all of your capital. Development and real estate projects carry construction, market, financing and completion risk. Investments are illiquid and there is no secondary market. No sponsor can guarantee that USCIS will approve any petition, that a visa number will be available within any period, that conditions on residence will be removed, or that capital will be returned on any particular schedule or at all.

Forward-looking statements

Statements on this site about projected job creation, construction timelines, repayment schedules and future performance are forward-looking. They rest on assumptions that may prove incorrect, and actual results may differ materially. Past performance does not predict future results.

Regional center designation

Approval and designation of a regional center under the Regional Center Program does not constitute or imply an endorsement, recommendation or approval by USCIS, the United States Government or any agency of it, of the investment opportunities, projects or business activities of that regional center. USCIS makes no determination regarding compliance with securities laws.

Accuracy

We take care to keep this site accurate but we do not warrant that it is complete, current or error-free. Figures relating to projects are stated as at the date shown and may change. Processing times, visa availability and statutory thresholds are set by the United States government and change without notice.

Intellectual property

The content of this site, including text, layout, graphics and the compilation of project information, belongs to AIIC or its licensors. You may read it, and print or download extracts for your own reference or to take advice on. You may not reproduce it commercially, republish it, or present it as your own without our written permission.

Links to other sites

Where we link to a third-party site, we do so for convenience. We do not control those sites and are not responsible for their content, their accuracy or their privacy practices.

Disclaimer and limitation of liability

To the fullest extent permitted by law, this website is provided \"as is\" and we disclaim all warranties, express or implied. To the fullest extent permitted by law, AIIC and its members, officers, employees and agents will not be liable for any indirect, incidental, special or consequential loss, or any loss of profit, arising out of your use of, or inability to use, this website. Nothing in these terms limits any liability that cannot lawfully be limited, including liability for fraud or fraudulent misrepresentation.

Governing law

These terms and any dispute arising out of them or out of your use of this site are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The state and federal courts sitting in Palm Beach County, Florida have exclusive jurisdiction, and you consent to their jurisdiction and venue. Where you have subscribed to an offering, the dispute resolution provisions of that offering's documents govern any dispute relating to the investment and take precedence over this clause.

Changes

We may change these terms. The date at the top shows when they were last changed. Your continued use of the site after a change means you accept the revised terms.
